An approval is useful only when the organisation can establish who had authority, what they authorised and which conditions applied at the time. For UAE teams working across several entities, start with a decision type and an accountable role, then connect the authority record to the actual transaction. A name in an email chain does not explain that relationship.
ISO 37000:2021 remains published guidance on organisational governance, with its official overview confirming review in 2026. It provides a broad governance reference; it does not create a UAE power of attorney or prescribe the approval fields described here. This article proposes an internal operating method. Entity documents, contracts and applicable law still determine legal authority. ISO 37000 governance overview
Key takeaways
Define the decision before assigning an approver. Specify the entity, limit, conditions and effective period. Give temporary delegation an explicit end. Preserve the authority version that applied when the decision was made, and reconcile system permissions with that approved arrangement.
Start with a decision rather than a job title
Choose one recurring decision, such as approving a supplier purchase. Write what the approval permits: committing expenditure, accepting a technical specification or releasing payment. These can be different decisions made by different people. If one button appears to cover all three, establish which checks happen before it is used.
Record the legal entity and business unit concerned. A group title may describe seniority without explaining authority for a subsidiary. Ask the responsible governance or legal owner to resolve that point before configuring an approval route. Do not infer authority from a person's access to the finance system.
Set limits that people can actually apply
For each decision, define the applicable amount or other boundary, required evidence and escalation route. State how currency conversion and cumulative commitments are treated where relevant. An amount limit is incomplete if people do not know whether tax, extensions or linked orders are included.
Use examples to expose ambiguity. Ask two authorised staff to route the same fictional transaction independently. If they select different approvers, revise the instruction before rollout. This is a practical clarity check, not a legal validation of the delegation instrument.
Control temporary delegation
Record who grants the delegation, who receives it, the covered decisions, start and end times, restrictions and whether further delegation is permitted. Confirm acceptance and competence for the task. Where the normal reviewer becomes the temporary approver, decide how an independent check will be maintained.
Give the system administrator a controlled instruction that matches the approved scope. Test one permitted and one prohibited transaction in an appropriate test setting. Schedule removal of temporary permissions and verify it happened. Keep access changes and business delegation linked without treating them as the same record.
A hypothetical cross-border purchasing decision
Assume an invented Sharjah business authorises its operations manager to approve specified purchases up to AED 50,000. During a five-day absence, a colleague in another country receives a written delegation limited to AED 20,000 and existing suppliers. These figures and arrangements are invented examples, not recommended thresholds.
A proposed AED 18,000 purchase from a new supplier falls outside that delegation despite being below the amount limit. The colleague escalates it through the stated route. The eventual record includes the supplier check, decision, approving role and authority reference; it does not retrospectively describe the temporary delegate as having approved it.
If the same request arrives after the delegation expires, the amount still does not resolve the authority question. A fresh authorisation or the normal approval route is needed. This illustrates why date, entity and conditions belong beside the financial limit.
Apply the authority conditions to one completed record
Fictional worked record. Extend the five-day delegation above with an internal rule that related orders for the same purchase are assessed together. That aggregation rule is invented for this exercise; the real organisation must define its own basis.
| Field | Recorded result |
|---|---|
| Request | AED 12,000 initial order plus an AED 9,000 linked extension |
| Entity and supplier | Correct entity; existing approved supplier |
| Relevant authority | Temporary delegate; AED 20,000 aggregate limit; valid for the request date |
| Amount tested | AED 12,000 + AED 9,000 = AED 21,000 |
| Decision | Outside delegated authority; escalate without committing the order |
| Evidence retained | Both requests, the applicable delegation version and the final authorised decision |
Testing the two amounts separately would produce two apparently permitted approvals, but it would misapply the example's aggregation rule. The decision therefore depends on transaction relationships as well as the amount in one system field.
Now change one input: remove the extension. The remaining AED 12,000 request is within the amount boundary, but still needs the correct entity, supplier condition, effective period and required supporting checks. Record those checks separately. Passing the amount test is a necessary condition in this example, not evidence that every condition is satisfied. This record demonstrates routing only; it does not validate the legal delegation or recommend these financial limits.
Keep a usable decision trail
Link the approved request to its supporting evidence, authority version and any exception. Separate a recommendation from the final decision. For recurring exceptions, ask whether the matrix is poorly designed or the operating process is bypassing it. Use management reviews that produce accountable decisions to bring persistent issues into an accountable management discussion.
Review a small sample after implementation, selecting ordinary approvals as well as exceptions and absence cover. Check whether the recorded approver matched the relevant authority at the time. Protect personal and commercially sensitive information in the evidence trail; a publicly shared matrix need not expose signatures or private contact details.
Questions teams ask
Does an email approval establish legal authority
Not by itself. It may evidence a decision, but the organisation still needs a valid basis for the person's authority. Obtain appropriate legal review where the effect is consequential.
Can one person prepare and approve a request
That depends on the organisation's rules and risk. Make any permitted combination explicit and arrange a proportionate independent check where needed; do not silently remove separation because staffing is limited.
Must the matrix contain every possible transaction
It should cover the material recurring decisions and explain how unusual cases are escalated. A clear exception route is more useful than an enormous list that nobody can maintain.
